HelpMe.ae's Referral Program Terms

Introduction

Welcome to HelpMe.ae Affiliate Referral Program (hereinafter referred to as the “Program”). This unique Program enables registered buyers to participate in a mutually beneficial relationship wherein they may earn commissions by referring sellers to the diverse range of services provided by HelpMe.ae. By participating in this Program, you acknowledge that you have read, understood, and agreed to be bound by the following Terms and Conditions (hereinafter referred to as the “Terms”).

SECTION 1 - DEFINITIONS

As defined in these Terms:

Buyer: A registered user possessing a buyer account with HelpMe.ae.

Seller: An entity or individual engaging with HelpMe.ae to avail themselves of various subscription plans and services.

Referral Code: A unique alphanumeric code assigned to the buyer for the purpose of referring potential sellers to HelpMe.ae.

Subscription Plans: Tailored offerings, categorized as monthly or annual, available to sellers.

Commission: A variable percentage of revenue allocated to the buyer following a successful subscription by a referred seller.

Discount: A variable reduction in the subscription cost afforded to the seller when utilizing a valid referral code.

SECTION 2 - ELIGIBILITY AND PARTICIPATION

Enrollment in the Program: Buyers wishing to participate must provide their official ID and full name. Upon successful enrollment, they will gain access to a dashboard displaying referral codes and payment information.

Utilization of Referral Codes: Referral codes may be shared by buyers to prospective sellers at their discretion.

SECTION 3 - SUBSCRIPTION PLANS AND BENEFITS

Annual Subscription: Sellers subscribing to an annual plan through a referral code may benefit from a one-time, changeable discount. This discount may fluctuate according to administrative decisions.

Monthly Subscription: Sellers opting for a monthly subscription plan may receive a changeable discount applicable over a changeable period, as determined by administrative discretion. Details of the changeable commission structure for buyers will be reflected on the buyer's dashboard.

SECTION 4 - REFERRAL PROCESS AND DISCOUNT CALCULATION

Sharing of Referral Codes: Buyers are authorized to share their unique referral codes with potential sellers, who may utilize these codes for subscription to HelpMe.ae's services.

Application of Discounts: All discounts are calculated based on the prevailing percentages at the time of subscription. Subsequent alterations to these percentages shall not affect existing subscriptions unless specified by administrative updates.

SECTION 5 - COMMISSION STRUCTURE AND DISCOUNT MECHANISM

Commission Allocation to Buyers: Commissions are allocated on a variable percentage basis, contingent upon successful subscription by referred sellers. The exact computation and distribution of these commissions are subject to administrative oversight.

Discount Provision to Sellers: Sellers are entitled to variable discounts on subscriptions, as determined by HelpMe.ae's administration.

SECTION 6 - SUBSCRIPTION MODIFICATIONS AND RESUBSCRIPTION PROTOCOL

Cancellation and Resubscription:

a. Immediate Resubscription: Sellers may cancel and resubscribe immediately under certain conditions. Refer to this page for specific timelines and guidelines.

b. Restriction Period: There is a specific period after which sellers cannot resubscribe using any referral code but may subscribe without one. Details can be found on this page.

c. Renewal Opportunity: After a specific period of non-subscription, sellers may have the opportunity to resubscribe using referral codes. The detailed timeframe is provided on this page.

Plan Upgrades:

a. Utilization of Same Referral Code: Sellers upgrading using the same referral code will have their discount and commission recalibrated to align with prevailing percentages at the time of upgrade.

b. Continuation of Discounts and Commissions: Existing percentages at the time of the initial subscription will be maintained unless an upgrade or administrative change is enacted.

SECTION 7 - PAYOUT REQUESTS AND PAYMENT PROCEDURES

Requesting Payouts: Buyers may request payouts, subject to a minimum threshold here. The request must be made using the buyer's name and ID.

Payment Modalities: Payments may be processed through:

Bank transfer (with a fee here and a processing duration here)

Cheque (with a fee here and a processing duration here).

SECTION 8 - PRIVACY AND SECURITY

Your privacy is of utmost importance to us. Personal information provided will be handled in accordance with our Privacy Policy, which can be accessed at here.

SECTION 9 - CONFIDENTIALITY

Participants shall maintain the confidentiality of any proprietary or confidential information received through the Program. Unauthorized disclosure or use of such information is strictly prohibited.

SECTION 10 - TERMINATION, SUSPENSION, AND ENTITLEMENT TO FURTHER PAYMENT

a. Account Suspension and Termination: HelpMe.ae reserves the right, at its sole discretion, to temporarily suspend further payments on your Account, suspend or terminate the participation of any Property or transaction in the Program, or suspend or terminate your Account. This can be done for a variety of reasons including, but not limited to, invalid activity, breach of the Program's Policies, or any other failure to comply with the Terms set forth.

b. Account Inactivity: If your Account remains inactive for a period here or more consecutive months, HelpMe.ae can terminate your participation in the Program and close your Account. Should the balance in your Account meet or exceed the applicable threshold at the time of closure due to inactivity, you will be paid that balance, in accordance with our payment provisions detailed earlier. In the event of such a closure, you are not prohibited from re-applying or rejoining the Program at a later date.

c. Breach of Terms: If HelpMe.ae terminates your Account due to a breach of these Terms, which may include, but is not limited to, causing or failing to prevent invalid activity or not fully complying with the Program's Policies, you will forfeit any entitlement to further payments for prior participation in the Program. If your Account is suspended or terminated due to breach, you are prohibited from creating a new Account and may be restricted from participating in other programs or services offered by HelpMe.ae.

d. Disputes: Should you dispute any payment made, withheld, or if your Account is terminated and you contest this termination, you must notify HelpMe.ae within 30 days of the event causing dispute by submitting an appeal. Failure to do so within the 30-day period will result in the forfeiture of any claims related to the disputed payment or termination.

e. Voluntary Termination: You may choose to terminate your participation in the Program at any time by following the account cancellation process. Your Account will be deemed terminated within 10 business days of HelpMe.ae's receipt of your notice. If the balance in your Account meets or exceeds the applicable threshold at the time you voluntarily terminate your participation, you will be paid that balance, subject to our payment provisions, within approximately 90 days after the end of the month in which you terminated your participation. Balances below the applicable threshold will remain unpaid.

SECTION 11 - NON-COMPETE CLAUSE

Participants agree not to engage in activities that directly compete with HelpMe.ae or share confidential information with competitors during their participation in the Program and following their exit from the Program.

SECTION 12 - INTELLECTUAL PROPERTY RIGHTS

All intellectual property rights, including logos, trademarks, and other marketing materials related to the Program, remain the sole property of HelpMe.ae. Unauthorized use or reproduction is prohibited.

SECTION 13 - TAX OBLIGATIONS

Participants are solely responsible for reporting and paying any taxes associated with their earnings from the Program, in compliance with applicable laws and regulations.

SECTION 14 - WARRANTIES AND REPRESENTATIONS

Participants warrant and represent that they will adhere to all applicable laws, rules, and regulations in their participation in the Program.

SECTION 15 - MARKETING AND PROMOTIONS

HelpMe.ae reserves the right to use participants' names, likenesses, or other information for marketing or promotional purposes, in accordance with applicable laws.

SECTION 16 - FORCE MAJEURE

HelpMe.ae shall not be liable for any failure to perform its obligations under these Terms due to circumstances beyond its control, including but not limited to natural disasters, governmental actions, or other force majeure events.

SECTION 17 - RELATIONSHIP OF PARTIES

Participants act as independent contractors and not as employees, agents, or representatives of HelpMe.ae.

SECTION 18 - INDEMNIFICATION

Participants agree to indemnify and hold harmless HelpMe.ae against any claims, losses, or damages arising from their participation in the Program or breach of these Terms.

SECTION 19 - ENTIRE AGREEMENT

These Terms constitute the entire agreement between the parties, superseding all prior or contemporaneous understandings or agreements.

SECTION 20 - SEVERABILITY

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

SECTION 21 - NOTICE

All notices required under these Terms shall be delivered to HelpMe's Customer Service.

SECTION 22 - WAIVER

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

SECTION 23 - THIRD-PARTY RIGHTS

No third parties have any rights under these Terms unless expressly stated.

SECTION 24 - DISPUTE RESOLUTION

In the event of any disputes, participants are encouraged to contact Customer Service for assistance. HelpMe.ae reserves the right to make final determinations regarding dispute resolution.

SECTION 25 - CONSEQUENCES FOR ABUSE/FRAUD

Any misuse of the Program, fraudulent activities, or other violations of the Program's intent will be investigated. Actions against individuals found to be in violation may include, but are not limited to, forfeiture of earned commissions, termination of participation, or legal action.

SECTION 26 - AMENDMENTS AND TERMINATION

HelpMe.ae reserves the unilateral right to modify, update, suspend, or terminate these Terms or the Program at any time. Notification of changes will be provided as required by law or at the discretion of HelpMe.ae.

SECTION 27 - GOVERNING LAW

These Terms shall be construed in accordance with the laws of United Arab Emirates.

SECTION 28 - INQUIRIES
